Terms of Service
Last Updated on September 27, 2026
1. Introduction
These Terms of Service (“Terms”) are an agreement between CredAlt Corporation, a Delaware corporation doing business as Lanyard Health, based in Houston, Texas (“Lanyard Health,” “we,” “us,” or “our”), and the organization that accepts them (“Customer,” “you,” or “your”). They govern your use of the website at https://lanyardhealth.com, the Lanyard Health platform, and the credentialing and enrollment services we provide (together, the “Services”). These Terms, the Business Associate Agreement, and any order form, addendum, or statement of work that refers to these Terms (each an “Order Form”) together form the “Agreement.”
2. Changes to These Terms
We may update these Terms. We will post the updated Terms with a new date and, for material changes, notify account administrators and ask them to accept the new version before continuing to use the Services. Changes do not apply to any dispute that arose before the change was posted.
3. Acceptance
You accept these Terms by clicking a button indicating your acceptance, by signing an Order Form that refers to them, or by using the Services. If you accept on behalf of an organization, (a) “you” and “your” refer to that organization, (b) you represent that you have authority to bind it, and (c) the organization is responsible for its users’ compliance with the Agreement. You may not use the Services if you are prohibited by law from receiving them.
4. Accounts and Security
To use the platform you must create an account. You agree to provide accurate and complete information and keep it current, keep your sign-in credentials secure, and notify us promptly of any unauthorized use of your account. You are responsible for activity under your account, except activity caused by our breach of the Agreement.
5. Fees and Payment
Fees are set out in your Order Form or, if none, on the Site. Payment is due within seven (7) days of the invoice date unless an Order Form states otherwise. Fees exclude taxes, which are your responsibility, and payer, state, or federal filing fees, which are passed through at cost with your prior approval. Payments are processed through third-party payment providers, and you authorize us to charge your chosen payment method for fees due. Fees are non-refundable except as required by law or as stated in an Order Form. We may suspend the Services if an undisputed invoice is more than thirty (30) days overdue, after giving you notice.
6. Term and Termination
6.1 Term. The Agreement lasts while you have an active subscription or Order Form. Unless an Order Form states an annual term, subscriptions are month-to-month and either party may cancel on thirty (30) days’ written notice.
6.2 Annual Terms. An annual term renews for another year unless either party gives notice at least thirty (30) days before the renewal date. We will remind you of an upcoming renewal.
6.3 Termination for Cause. Either party may terminate the Agreement for a material breach by the other party that is not cured within fifteen (15) days of written notice.
6.4 Effect. On termination, fees earned through the termination date become payable, and Section 9 applies to your data. Sections 5, 7 through 14, and 16 survive termination.
7. Intellectual Property
We and our licensors own the Services, the platform, its software, and all related intellectual property, including improvements, and nothing in the Agreement transfers ownership of them to you. We grant you a non-exclusive, non-transferable right to use the Services for your internal business purposes during the term. You may not copy, modify, resell, or reverse engineer the Services. If you send us suggestions, we may use them without obligation.
8. Customer Data
8.1 Ownership and Use. You own the data you and your providers submit to the Services (“Customer Data”). We use Customer Data only to provide and support the Services, as you instruct, and as required by law.
8.2 No AI Training; No Sale. We will not use Customer Data to train, fine-tune, or evaluate any artificial intelligence or machine-learning model, and we will not sell Customer Data.
8.3 Security and HIPAA. We protect Customer Data with the safeguards described in the Business Associate Agreement, which is incorporated into the Agreement and governs any Protected Health Information.
8.4 Confidentiality. Each party will keep the other party’s non-public information confidential, use it only for the Agreement, and protect it with at least reasonable care. This does not apply to information that is public through no fault of the receiving party, already known to it, independently developed, or required to be disclosed by law (with notice to the other party where lawful).
9. End of Service
9.1 Your Records. You are responsible for retaining your own credentialing and enrollment records for as long as your accreditors, payers, or applicable law require.
9.2 Export. On your written request made before, or within thirty (30) days after, termination, we will provide an export of Customer Data, including provider profiles, uploaded documents, verification results with their dates and sources, and enrollment history, in a commonly used electronic format.
9.3 Return or Destruction. We will return or destroy Customer Data within sixty (60) days after termination, as described in the Business Associate Agreement, except data we must retain by law and backup copies deleted on our regular backup schedule, which remain protected under the Agreement.
10. Indemnification
10.1 By Lanyard Health. We will defend you against any third-party claim alleging that the Services, as we provide them, infringe that party’s intellectual property rights, and pay the damages and costs finally awarded or agreed in settlement.
10.2 By Customer. You will defend us against any third-party claim arising from (a) inaccurate, incomplete, or false information you or your providers submit, (b) your failure to disclose adverse actions, or (c) your use of the Services in breach of the Agreement, and pay the damages and costs finally awarded or agreed in settlement.
10.3 Process. The indemnified party must give prompt notice of the claim, reasonable cooperation, and control of the defense to the indemnifying party. This Section is subject to Section 12.
11. Disclaimers
Except as expressly stated in the Agreement or the Business Associate Agreement, the Services are provided “as is” without warranties of any kind. Payers make their own decisions: we do not guarantee that any health plan will approve a provider, accept an application, or respond within any timeframe, and a payer’s decision to decline or defer an application, including for lack of network need, is not a failure by us to perform the Services.
12. Limitation of Liability
12.1 Excluded Damages. Neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, even if advised of their possibility.
12.2 Cap. Each party’s total liability arising out of or relating to the Agreement will not exceed the fees paid and payable by Customer to Lanyard Health in the twelve (12) months before the event giving rise to the claim.
12.3 Data Incidents. For breaches of Section 8 or the Business Associate Agreement, the cap in Section 12.2 is two (2) times that amount, and that increased cap is the sole and aggregate cap for such claims.
12.4 Exclusions. Sections 12.1 through 12.3 do not limit liability for a party’s fraud, gross negligence, or willful misconduct, or Customer’s obligation to pay fees due.
13. Governing Law
The Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-law rules, except to the extent governed by federal law.
14. Arbitration
Any dispute arising out of or relating to the Agreement will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Houston, Harris County, Texas. Each party bears its own legal fees, except as the arbitrator determines. Either party may seek injunctive relief in a court of competent jurisdiction to protect its confidential information or intellectual property.
15. International Use
We operate from the United States and store Customer Data in the United States. If you access the Services from outside the United States, you are responsible for complying with local laws.
16. Electronic Signature
You consent to accepting the Agreement electronically, and your electronic acceptance is legally equivalent to a handwritten signature. You may request a paper copy by contacting us.
17. General
17.1 Order of Precedence. If documents conflict: for Protected Health Information, the Business Associate Agreement controls; then an Order Form, for the services it describes; then these Terms.
17.2 Assignment. Neither party may assign the Agreement without the other party’s consent, except to a successor in a merger or a sale of substantially all of its assets.
17.3 Force Majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, other than payment obligations.
17.4 Notices. Notices to us go to support@lanyardhealth.com. Notices to you go to your account administrator’s email address.
17.5 Severability. If any provision is found unenforceable, the rest of the Agreement remains in effect.
17.6 Entire Agreement. The Agreement is the entire agreement between the parties on its subject and supersedes prior agreements on that subject.
